Terms and Conditions of Membership

1. Definitions
“SmartValue Club” / “we” / “us” / “our” — SmartValue Club, a company registered in the Republic of South Africa, operating the website and digital services under the SmartValue Club brand.
“Member” / “you” / “your” — Any natural or juristic person who has registered a membership account on the SmartValue Club platform.
“Package” — A subscription tier offered by SmartValue Club, comprising specific products, benefits, and value-adds as described on our website from time to time.
“Products” — All goods, services, digital content, discount coupons, e-training, eBooks, magazines, and other benefits included in a Package.
“Third-Party Supplier” — An independent external provider whose goods or services are included in or linked to a Package.
“Platform” — The SmartValue Club website and any related digital interfaces through which membership services are accessed.
“Subscription Fee” — The recurring charge payable by a Member for their selected Package.
“Personal Information” — As defined in the Protection of Personal Information Act 4 of 2013 (POPIA).
2. About SmartValue Club
2.1 SmartValue Club is an online subscription service registered and operating in South Africa. We curate packages of products and value-adds designed to save our members significantly more than the cost of their subscription.
2.2 Our current product offerings include, but are not limited to:
- Discount coupons at leading South African retailers valued at more than ten times the subscription fee paid;
- Access to e-learning and online training content;
- Instant downloadable eBooks;
- Exclusive access to the SmartValue Club digital magazine;
- Additional products and services as bundled in specific Packages.
2.3 The specific contents of each Package are described on our website and may be updated from time to time. We will notify members of any material changes in accordance with clause 18.
3. Eligibility and Registration
3.1 To become a Member, you must:
- Be at least 18 years of age;
- Be a resident of the Republic of South Africa or an entity registered/operating in South Africa;
- Provide accurate, complete, and current registration information;
- Have the legal capacity to enter into a binding agreement.
3.2 By registering, you warrant that all information provided is truthful, accurate, and not misleading. SmartValue Club reserves the right to verify your identity and to refuse or terminate membership if false information is provided.
3.3 You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Please notify us immediately at support@smartvalueclub.co.za if you suspect unauthorised access.
3.4 One membership account per person is permitted. Creating duplicate accounts may result in suspension or termination.
4. Membership Packages
4.1 SmartValue Club offers multiple membership Packages, each comprising a defined set of Products and value-adds. Full details of current Packages, including pricing and included benefits, are available on our website.
4.2 We reserve the right to introduce new Packages, discontinue existing Packages, or modify Package contents from time to time, subject to the notice provisions in clause 18.
4.3 Products and value-adds included in any Package may be sourced from Third-Party Suppliers and are subject to those suppliers’ own terms and availability. SmartValue Club will endeavour to maintain advertised Package content but cannot guarantee indefinite availability of third-party products.
4.4 Images and descriptions of Package contents on our website are for illustrative purposes and may differ slightly from actual delivery.
5. Upgrades, Downgrades, and Cancellation
5.1 No Binding Contract: SmartValue Club operates on a flexible, month-to-month subscription model. There is no minimum contract period. Members may cancel, upgrade, or downgrade their Package at any time.
5.2 Upgrades: If you upgrade your Package, the new Package benefits will take effect upon processing of the upgraded payment. Any difference in Subscription Fee will be calculated and applied pro-rata or charged at the next billing cycle, as indicated on the Platform.
5.3 Downgrades: If you downgrade your Package, the change will take effect at the end of your current billing period. You will continue to enjoy your current Package benefits until that date.
5.4 Cancellation: You may cancel your membership at any time via your account dashboard or by contacting us. Cancellations submitted before the next billing date will prevent future charges. Access to your Package benefits will remain active until the end of the current paid billing period. No refund is issued for the unused portion of a billing period already charged, unless otherwise required by law.
5.5 SmartValue Club reserves the right to suspend or terminate a membership in cases of non-payment, breach of these Terms, or misuse of the Platform, subject to reasonable notice where practicable.
6. Fees and Payment
6.1 Subscription Fees are as published on our website and are quoted inclusive of Value Added Tax (VAT) at the applicable South African rate, unless otherwise stated.
6.2 Payment is due in advance at the commencement of each billing period (monthly or annually, as selected). Access to Package benefits is contingent on timely payment.
6.3 We accept payment via the methods listed on the Platform. All transactions are processed in South African Rand (ZAR). You authorise SmartValue Club (or its designated payment processor) to charge your chosen payment method on a recurring basis until you cancel your membership.
6.4 If a payment fails, we will notify you and provide a reasonable period to update your payment details. During this period, access to premium Package features may be suspended. SmartValue Club reserves the right to cancel the membership if payment is not received within 7 (seven) days of the failed payment notification.
6.5 Pricing may be revised from time to time. We will provide at least 30 (thirty) days’ notice of any price increase. Your continued use of the service after the effective date of a price change constitutes acceptance of the new pricing.
6.6 All payments are processed by PCI-DSS compliant third-party payment providers. SmartValue Club does not store your full card details.
7. Discount Coupons and Vouchers
7.1 Discount coupons and vouchers provided as part of a Package are subject to the individual terms and conditions of the issuing retailer or Third-Party Supplier.
7.2 Coupons and vouchers may have expiry dates, usage restrictions, minimum spend thresholds, or other conditions. SmartValue Club will make reasonable efforts to communicate relevant conditions but accepts no liability for coupons not redeemed due to expiry or non-compliance with retailer conditions.
7.3 The stated aggregate value of coupons included in a Package represents potential savings based on face values at time of compilation. Actual savings may vary depending on member usage and retailer pricing changes.
7.4 Coupons and vouchers are for personal use only and may not be resold, transferred, or exchanged for cash.
7.5 Participating retailers are subject to change. SmartValue Club will endeavour to replace a discontinued retail partner with a comparable offering.
8. Digital Content (eBooks, Training, Magazine)
8.1 Digital content, including eBooks, e-training modules, and the SmartValue Club digital magazine, is provided for the Member’s personal, non-commercial use only.
8.2 You may not reproduce, redistribute, resell, broadcast, or otherwise make digital content available to any third party without our prior written consent.
8.3 Digital content is provided “as is” and is for informational and educational purposes. SmartValue Club makes no warranties regarding the accuracy, completeness, or fitness for purpose of any digital content.
8.4 E-training content does not necessarily lead to formal qualifications or certifications recognised by SAQA or the NQF unless explicitly stated.
8.5 Upon cancellation of membership, access to digital content hosted on the Platform will cease. Downloaded eBooks already received remain the Member’s to keep.
9. Third-Party Suppliers
9.1 Certain products and benefits within our Packages are supplied by Third-Party Suppliers. By accessing or using those products, you also agree to the respective supplier’s terms and conditions.
9.2 SmartValue Club is not responsible for the products, services, or conduct of Third-Party Suppliers. Any disputes relating to third-party products must be directed to the relevant supplier.
9.3 Third-Party Suppliers may change from time to time. We will notify Members of material changes to Package content as described in clause 18.
9.4 Links to third-party websites or platforms are provided for convenience only and do not imply endorsement. SmartValue Club has no control over and accepts no liability for the content of external sites.
10. Intellectual Property
10.1 All content on the SmartValue Club Platform — including but not limited to text, graphics, logos, icons, software, digital content, and the SmartValue Club magazine — is the intellectual property of SmartValue Club or its licensors and is protected under South African copyright and intellectual property laws.
10.2 Members are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform and its content solely for personal, non-commercial purposes during the period of active membership.
10.3 Any unauthorised use, reproduction, distribution, or modification of SmartValue Club’s intellectual property is strictly prohibited and may result in legal action.
11. Acceptable Use
11.1 You agree not to use the Platform or any Package benefit to:
- Violate any applicable South African or international law or regulation;
- Engage in fraudulent, deceptive, or misleading activity;
- Infringe the intellectual property rights of SmartValue Club or any third party;
- Transmit viruses, malware, or any harmful code;
- Attempt to gain unauthorised access to any system, account, or data;
- Harass, abuse, or harm any individual;
- Resell, barter, or commercially exploit any Package benefit without written consent;
- Use automated scraping tools, bots, or similar technologies on the Platform.
11.2 Breach of acceptable use may result in immediate suspension or termination of membership without refund and may be reported to relevant authorities.
12. Privacy and Protection of Personal Information (POPIA)
12.1 SmartValue Club respects your privacy and is committed to processing your Personal Information in accordance with the Protection of Personal Information Act 4 of 2013 (POPIA) and applicable regulations.
12.2 We collect Personal Information such as your name, contact details, payment information, and usage data solely for the purposes of providing and improving our services, administering your membership, and communicating with you.
12.3 We will not sell, rent, or share your Personal Information with third parties except:
- As necessary to fulfil your Package benefits (e.g., sharing details with a Third-Party Supplier to redeem a coupon);
- With service providers bound by confidentiality obligations;
- As required by law or court order;
- With your prior written consent.
12.4 You have the right to access, correct, or request deletion of your Personal Information. Requests can be directed to our Information Officer at privacy@smartvalueclub.co.za.
12.5 Our full Privacy Policy, which forms part of these Terms, is available on our website.
12.6 By registering, you consent to the processing of your Personal Information as described in our Privacy Policy.
13. Electronic Communications (ECT Act)
13.1 SmartValue Club operates in compliance with the Electronic Communications and Transactions Act 25 of 2002 (ECT Act).
13.2 As required by the ECT Act, the following information is disclosed: Full legal name and registration details of SmartValue Club are available on request. Our physical and email addresses are published on the Platform.
13.3 By transacting online, you consent to receiving communications electronically and acknowledge that electronic agreements are legally binding.
13.4 In accordance with the ECT Act, Members may opt out of receiving direct marketing communications at any time by following the unsubscribe instructions in any such communication or by contacting us.
14. Consumer Protection (CPA)
14.1 SmartValue Club acknowledges and respects the rights of consumers as provided in the Consumer Protection Act 68 of 2008 (CPA).
14.2 You have the right to receive services of good quality and to be provided with accurate information about our services.
14.3 Cooling-Off Period: In the case of a transaction concluded as a result of direct marketing, you have the right to cancel the transaction within 5 (five) business days of concluding the agreement or receiving the goods/services, whichever is later, in accordance with section 16 of the CPA. To exercise this right, please contact us at support@smartvalueclub.co.za.
14.4 Nothing in these Terms limits any rights you may have under the CPA or any other mandatory consumer protection legislation.
15. Disclaimers and Limitation of Liability
15.1 The Platform and all Package contents are provided “as is” and “as available” without warranties of any kind, express or implied, except as required by law.
15.2 SmartValue Club does not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components.
15.3 To the maximum extent permitted by law, SmartValue Club shall not be liable for:
- Indirect, incidental, consequential, or punitive damages arising from your use of the Platform or any Package benefit;
- Loss of data, revenue, or profits;
- Losses arising from reliance on any digital content, advice, or information provided through the Platform;
- Unavailability or discontinuation of any third-party product or service;
- Actions or omissions of Third-Party Suppliers.
15.4 Where liability cannot be excluded by law, our total aggregate liability to you shall not exceed the total Subscription Fees paid by you in the 3 (three) months preceding the event giving rise to the claim.
16. Indemnity
16.1 You agree to indemnify, defend, and hold harmless SmartValue Club, its officers, directors, employees, agents, and partners from and against any claims, losses, damages, liabilities, and expenses (including legal fees) arising out of or related to your breach of these Terms, your misuse of the Platform, or your violation of any applicable law.
17. Complaints and Dispute Resolution
17.1 We are committed to resolving member concerns promptly and fairly. If you have a complaint, please contact us first:

17.2 We will acknowledge your complaint within 2 (two) business days and endeavour to resolve it within 10 (ten) business days.
17.3 If your complaint is not resolved to your satisfaction, you may refer the matter to the National Consumer Commission (NCC) or, for financial services-related matters, the relevant ombud.
17.4 These Terms are governed by the laws of the Republic of South Africa. Any dispute not resolved through the above process shall be subject to the jurisdiction of the South African courts.
18. Changes to Terms and Package Content
18.1 SmartValue Club reserves the right to amend these Terms and Conditions at any time. Where changes are material, we will notify you by email or prominent notice on the Platform at least 30 (thirty) days before the changes take effect.
18.2 Your continued use of the Platform after the effective date of amended Terms constitutes acceptance of those Terms.
18.3 Where a Package content change materially reduces the value you receive, you may cancel your membership without penalty within 30 (thirty) days of notification.
19. Suspension and Termination by SmartValue Club
19.1 SmartValue Club may suspend or terminate your membership with immediate effect and without refund if you:
- Breach any provision of these Terms;
- Provide false, fraudulent, or misleading information;
- Engage in conduct harmful to SmartValue Club, its members, or Third-Party Suppliers;
- Fail to pay any Subscription Fee when due.
19.2 Upon termination, all licences granted to you under these Terms immediately cease. Clauses relating to intellectual property, indemnity, limitation of liability, and dispute resolution survive termination.
20. Force Majeure
20.1 SmartValue Club shall not be liable for any failure or delay in performing its obligations where such failure or delay results from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, load-shedding, internet or network outages, government actions, pandemics, or failures of Third-Party Suppliers.
20.2 In such circumstances, we will endeavour to restore services as soon as reasonably practicable and will communicate any material disruptions to Members.
21. Severability
21.1 If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be severed from the remainder of the Terms, which shall continue in full force and effect.
22. Entire Agreement
22.1 These Terms and Conditions, together with our Privacy Policy and any additional terms applicable to specific Packages, constitute the entire agreement between you and SmartValue Club with respect to your membership and supersede all prior agreements, representations, or understandings.
23. Waiver
23.1 No failure or delay by SmartValue Club in exercising any right under these Terms shall be construed as a waiver of that right. A waiver of any specific breach shall not constitute a waiver of any future breach.
